Terms of Service

The terms that govern the LumixSys website and pre-contract evaluations of the SpectraShield platform. Customer agreements govern production use.

1. Acceptance of terms

By accessing the LumixSys website, signing up for an evaluation, or using SpectraShield, you agree to these Terms of Service ('Terms'). If you do not agree, do not use the services.

These Terms apply to your individual use of the website and pre-contract evaluations. Production use of SpectraShield is governed by a separate Master Subscription Agreement signed with LumixSys, Inc.

2. Acceptable use

You may use the services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the services to violate any applicable law or regulation.
  • Attempt to reverse engineer or otherwise extract source code from compiled artifacts, except as permitted by law.
  • Probe or test the vulnerability of any system or network without prior written consent from LumixSys.
  • Submit false or misleading information when registering for an account.
  • Use the services to develop competing products without explicit license.

3. Accounts and authentication

You are responsible for safeguarding your authentication credentials and for any activity that occurs under your account. Notify security@lumixsys.com immediately of any unauthorized access.

We may suspend or terminate accounts that violate these Terms, applicable law, or pose a risk to the security of the platform.

4. Intellectual property

The services, content, and materials available on lumixsys.com, including all software, text, logos, and design elements, are the property of LumixSys, Inc. or its licensors and are protected by intellectual property laws.

Subject to your compliance with these Terms, LumixSys grants you a limited, non-exclusive, non-transferable license to access and use the services for evaluation purposes.

5. Feedback

We welcome feedback. By submitting feedback, you grant us a non-exclusive, perpetual, royalty-free license to use it without restriction. Your submission does not entitle you to compensation or attribution, and we will never share your name without consent.

6. Disclaimer of warranties

The services and pre-contract evaluations are provided 'as is' and 'as available' without warranties of any kind. To the maximum extent permitted by law, LumixSys disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Production deployments are governed by the warranties and SLAs in your Master Subscription Agreement.

7. Limitation of liability

To the maximum extent permitted by law, LumixSys, its directors, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or pre-contract evaluations.

Our aggregate liability under these Terms is limited to the amount you paid us (if any) for access to the services in the 12 months preceding the claim, or $100, whichever is greater.

8. Indemnification

You agree to indemnify and hold LumixSys harmless from any claim, loss, or expense arising from your breach of these Terms or your violation of any law or third-party right.

9. Termination

We may terminate or suspend your access at any time, with or without cause, with or without notice. You may stop using the services at any time. Sections 4, 6, 7, 8, and 10 survive termination.

10. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Disputes will be resolved exclusively in the state or federal courts located in Suffolk County, Massachusetts.

11. Changes

We may update these Terms from time to time. Material changes will be announced 30 days before they take effect. Continued use of the services after the effective date constitutes acceptance.
